1. Acceptance of Terms
By accessing or using SignExact (“Service”, hosted on signexact.com), operated by SignExact (“Company”), you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of an organization or corporate entity, you represent and warrant that you possess the authority to bind such entity.
2. Electronic Signature Statutory Consent & UETA/ESIGN
Pursuant to the United States Electronic Signatures in Global and National Commerce Act (ESIGN Act, 15 U.S.C. § 7001 et seq.) and the Uniform Electronic Transactions Act (UETA), both authors and signers acknowledge and agree that:
- Electronic signatures executed through SignExact carry identical legal validity and enforceability as handwritten pen-and-paper signatures.
- Signers are provided affirmative electronic disclosures and have the statutory right to print copies of agreements prior to or following execution.
- SignExact generates immutable, tamper-evident SHA-256 hash chains and Certificates of Completion to authenticate transaction records.
3. Envelope Allocations & Subscriptions
Service tiers provide monthly envelope quotas (Starter: 50 envelopes, Professional: 250 envelopes, Enterprise: 1,000 envelopes). An envelope is defined as a single executed transaction regardless of page count or recipient count. Quotas reset automatically on the 1st of each calendar month UTC.

Customers are solely responsible for ensuring that documents executed on the platform comply with applicable local, state, and international substantive laws. SignExact does not evaluate the legal substance or enforceability of any specific contract terms placed on the platform.
5. Limitation of Liability
To the maximum extent permitted by applicable law, SignExact shall not be liable for indirect, incidental, special, consequential, or punitive damages resulting from your use of the platform or any dispute arising between executing parties.
